Terms of Service

1. Acceptance of Terms

By accessing or using Ace Lock ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you differ with any part of these Terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Account Registration and Security

To use certain features of the Service, you may be required to create an account. You must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you are under 13, you must have parental consent to use the Service, and your parent or guardian is responsible for supervising your use.

3. License to Use

Subject to your compliance with these Terms, Ace Lock grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Application for your personal, non-commercial use. You obtain no other rights or interest in the Application or Service.

4. Subscriptions & Payments

  • Pro Plan: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). The pricing and features are described in the app.
  • Billing: You will be billed in advance on a recurring and periodic basis (such as monthly or annually).
  • Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • Cancellation: You can manage or cancel your subscription through your App Store or Google Play account settings at any time. Refunds are generally not provided for partial subscription periods.
  • Price Changes: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion.

5. Prohibited Activities

You agree not to modify, reverse engineer, or tamper with the Service. You also agree not to:

  • Use the Service for any unlawful purpose or to violate any local, state, national, or international law.
  • Harass, abuse, defame, threaten, or defraud other users.
  • Bypass, hack, or attempt to bypass any security measures of the Service.
  • Impersonate or misrepresent your affiliation with any person or entity.
  • Interfere with or disrupt the operation of the Service or servers/networks connected to the Service.
  • Use any robot, spider, or other automated means to access the Service for any purpose properly.

6. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Ace Lock and its licensors. The Service is protected by copyright, trademark, and other laws of both Japan and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Ace Lock.

7. Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ACE LOCK MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

IN NO EVENT SHALL ACE LOCK, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the app settings.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
